Looks like an overheating problem to me. As far as heatsink is concerned I recommend Thermalright XP-120 (I have it myself) + some quiet 120mm PAPST fan (I have a 4412 F/2 GL).
Optionally you may consider SI-120 or some XP-90 (92mm fan)

Yeah looks like it is a heating problem, running prime95 on each core sperately and no resets.

Well the new heatsink and fan came finally and now my computer is functioning properly. I went with the Thermalright Ultra 90 K8 heatsink and one 92mm Vantec Tornado fan. The Vantec Tornado sure is loud, I will have to get a rheostat to control the fan speed to get rid of some of that noise.

The Heatsink Factory at www.heatsinkfactory.com offers a Zalman speed controller for your heat sink. I bought 2 XP-90C heat sinks with low speed fans from them for my Tyan dual processor motherboard. This PC is so quiet that I have to make a "special" effort to verify that it is still running.
