Default failing all prime tests, can any body help this nooby

hi ive just built my own system and im having some large problems, Prime 95 fails instantly in all three of the torture tests, could you guys give me advice please..

my spec is,

AMD Athlon 3500+ (winchester)
Abit AV8
OCZ Power stream 420W
Crucial 256MB (CT3264z40B.8TG)
WD 74GB Raptor 10,000K
Windows XP Pro System pack 1

i haven't overclocked it, since i want it stable at stock (obviously), and i have tried upping the Vcore, and the Vdimm to get stability, with no luck. the temps, also remain below 40c. im trying to firgure out if im doing something wrong, or if its a bad CPU or motherboard.

anybody with a better brain then mine give advice?

The most common problem is memory. Try running memtst86, although that is not definitive. Also try running the torture test with slower RAS,CAS,etc memory settings.

thanks for the infor, ive posted in many forums but nobody has any informative things to say on the matter, ill try what you've suggested and also try to get hold of another stick of memory.

According to this thread, there could be some problems with Winchester cpus and prime95 - the question now is: who's guilty?

A prime searcher already found the famous FDIV of the Pentium, so it needn't be a software problem...

If you are saying it passes the small FFT torture test, then I take back what I said about memory being the most likely cause.

I have the san diego (a 90nm 1mb l2 cache processor @ 2.2ghz). It's newer than the winchester but quite similar. Anyways...

I am getting errors in prime95 running the large ffts (sp) torture test but not in the small fft torture test. I get errors withint 1-9min on the large ffts torute test. I'm letting memtest86 run right now but it's gone 4 hours and 5 passes error free...I am at a loss as to why prime 95 is failing so quick (usually fails on the first test). Just as a note, my 130nm athlon fx-53 (before winchesters) passed prime95 with flying colors...is this a potential software bug? processor problem ? or what? i'm very confused.

Is there another program I could use for cpu stability? Maybe if it passes that...Ill know it isn't my system at fault.
